This proposal may be attached to a separate services agreement if the parties choose to execute one.
Northlight Studio retains copyright in the images. On full payment, the client receives a non-exclusive commercial license to use the delivered images on its website, paid social, and wholesale materials, in the agreed territory, for two years. Exclusivity, additional channels, extended territory, sublicensing, or a longer term are available for an added licensing fee. The studio may use the images in its own portfolio and marketing unless the parties agree otherwise in writing.
Either party may terminate with written notice. The booking deposit is non-refundable once the shoot is scheduled. Work completed through the termination date remains payable, and any images delivered for paid milestones may be used under the agreed license. Either party may reschedule once without an added studio fee by giving at least seven calendar days' written notice. If weather, illness, or unsafe conditions make the shoot impracticable, the deposit transfers to the next mutually available date. A client-requested reschedule with fewer than seven days' notice incurs a rebooking fee of 10 percent of the total fee plus non-refundable third-party costs; a second client-requested reschedule is treated as a cancellation unless agreed otherwise in writing.
